Terms of Use

Caux Round Table Japan (“CRT Japan”, “we”, “our”, or “us”) operates Hello Ninja (the “Services”). This Terms of Use (the “Terms”) informs you of our terms and conditions for the use of any or all Services. Please read and agree with the Terms to use our Services. 

Article 1 (Definition)

The definitions of terms used in this agreement are as follows.

(1) CRT Japan, We, Our, Us Caux Round Table Japan. Caux Round Table Japan is a global network of business leaders aimed at making society more free, fair, and transparent through business. CRT Japan supports corporate and civil society’s initiatives to respect human rights. For more detail, please visit our website.  https://crt-japan.jp/en/
(2) Services Hello Ninja and other related services operated by CRT Japan.
(3) Contents The subject or purpose of the Services, i.e. text, sounds, images, videos, software programs, codes, or any message or information being conveyed by the Services.
(4) User Those who agreed to our Terms of Use and used our Services.
(5) Registered users Those who have completed user registration for our Services.
(6) Bluenumber A unique ID consisting of a 20-digit character string issued upon user registration for our Services.
(7) Password Cryptography uniquely set by the registered user corresponding to the ID.
(8) Post Acts of registered user displaying or publishing any Contents on or through our Services.
(9) Point Benefits that can be used with our Services (cannot be exchanged for cash in part or full) that registered users acquire by using the Services in accordance with the point rules established by CRT Japan.
(10) Personal information Information that can identify a specific individual, such as address, name, occupation, and telephone number (including information that can easily identify a specific individual by collating with other information).
(11) Registered information Information in which a user inputted upon registration on our Services.
(12) Intellectual property Inventions, ideas, new varieties of plants, designs, works and other things produced by human creative activities (including discovered or elucidated laws or phenomena of nature that have industrial applicability), trademarks, trade names and other items that indicate products or services used in business activities, trade secrets and other technical or business information useful for business activities.
(13) Intellectual property right Patent rights, utility model rights, breeder's rights, industrial rights, copyrights, trademark rights and other intellectual property rights stipulated by law or rights related to legally protected interests.
Article 2 (Our Role and Position)
2.1 CRT Japan provides an application that aims to support users in communicating with their working companies, related recruitment agencies, and their-party support organisations. We collect the content of the information, but we have no involvement in the content at all, except for the messages sent to/from us.
2.2 The User agrees that the use of the Services shall be at their sole risk.

Article 3 (Content of Services)
3.1  On Hello Ninja, CRT Japan provides the Services which enable the User to record their working hours, request for vacations, send messages to/from working company, recruitment agencies (e.g., supervising company and sending company for Technical Intern Trainees) and third-party support organisations, answer surveys, confirm safety in the event of an emergency, and receive event information.
3.2  Points may be awarded when registered users use various Services provided by Hello Ninja, in accordance with the "Point Rules" set forth separately by CRT Japan. However, we do not guarantee a right to use benefits in the future and the points granted can be invalidated. Regarding the granting or use of points, the Point Rules at the point in time shall be applied.
3.3  Hello Ninja aims to continuously improve our Services and upgrade an application version based on users’ experience feedback. Users can post reviews and suggestions for improvements to Hello Ninja on the App.

Article 4 (Acceptance of Terms of Use Agreement)
4.1  The User shall acknowledge and agree to Terms prior to the use of Services.
4.2  By downloading Hello Ninja, whether on a mobile device or any other information devices, and agreeing to the Terms, the Terms of Use shall be deemed to be a legally binding agreement between the User and CRT Japan.
4.3  The Services are intended for workers and therefore, the User shall be at least 16 years of age to use the Service.
4.4  If a minor (below the age of 16 years) uses our Services by pretending to have the consent of a legal representative, misrepresenting your age, or pretending to be a competent person, the user cannot revoke any legal acts related to our Services.
4.5  If a user who was a minor at the time of agreeing to our Terms uses the Services after reaching the age of majority, the user is deemed to have confirmed all legal acts related to the Services.

Article 5 (Change of Terms)
5.1  CRT Japan may revise the contents of the Terms of Use at any time without obtaining the consent of users in case of changes in laws and regulations or in economic conditions and the User shall accept this without objection.
5.2  Upon the revision of the Terms, CRT Japan will set a certain period of time to inform the Users of the contents by the means prescribed by CRT Japan.
5.3  The revised Terms shall come into effect from a certain period of time we inform the Users of the revision as stated in the preceding paragraph.
5.4  Changes shall be deemed to be accepted without any objection when the User accesses our Services after the revision.

Article 6 (Usage Fee)
The User does not have to pay any special fees such as membership fees for using our Services.

Article 7 (Usage Restrictions)
The User may choose who they share their profile with. Depending on the choice, some features may not be available. For more information, please see our Privacy Policy (2. Features of the App).

Article 8 (Registration Procedure)
8.1  Those who wish to register for our Services ("registration applicants") should download the App and complete the registration.
8.2  Upon registration, the Users are deemed to agree to be issued for Bluenumber, a global ID. They shall not be able to use our Service unless they agree to the issuance of Bluenumber. Registration is considered complete upon the issuance of Bluenumber.
8.3  CRT Japan notifies registered users of contact information, advertisements, and other information by e-mail.
8.4.  If a registration applicant falls under any one of the following, CRT Japan may not, at its own discretion, approve their use of Hello Ninja.
  1. If the applicant for registration is below the age of 16.
  2. When a registration applicant is a person who has been withdrawn in the past due to violating the Terms or other policies established by CRT Japan.
  3. When CRT Japan determines that a registration applicant is registering by improper means.
  4. When a registration applicant attempts to register with information other than the person himself/herself.
  5. When CRT Japan considers it inappropriate.

Article 9 (Account Management)
9.1   Regarding the information registered at the time of use ("registration information", including e-mail address, ID, password, etc.), Users shall voluntarily register and manage the information at the time of use at their own risk. Users must not allow a third party to use, the information, or must not lend, transfer, change the name, buy or sell the information.
9.2  If the Services are used by a registered user, CRT Japan will treat it as being used by the person who registered an account on Hello Ninja, and he/she will be responsible for any results caused by using the Services and all the responsibilities associated with it.
9.3   If the unauthorized use of the registered information causes damage to us or a third party, the User shall compensate for the damage.
9.4  The management of registration information shall be carried out at the User's own risk, and we shall not be liable for any disadvantage or damage suffered by the user due to the registration information being inaccurate or false.
9.5  If it is found that the registered information has been stolen or used by a third party, the User shall immediately notify us and follow the instructions from us.

Article 10 (Procedure for Deleting Information from Bluenumber)
10.1 If the user wishes to delete their personal information and other information from Bluenumber, please contact hello-ninja@crt-japan.jp. Bluenumber will respond to their requests within 30 business days.
10.2 If any one of the instances below applies, we will forcibly delete their information registered in Bluenumber at our discretion and suspend the use of Hello Ninja.
  1. When it becomes clear that the User registration was done without following the method specified by CRT Japan.
  2. When illegally obtained or forged residence card number is registered, or another person's residence card number is registered.
  3. When the identity is or is suspected to be forged for registration purposes.
  4. When they violate the Terms or other policies established by CRT Japan.
  5. When we consider their use inappropriate.

Article 11 (Handling of Personal Information)
Personal information and user information shall be handled appropriately in accordance with the Hello Ninja Privacy Policy set forth separately by CRT Japan.

Article 12 (Prohibition)
Upon using the Services, the Users shall not conduct actions falling under any of the following items. If the User fails to comply with this article, CRT Japan may take all necessary procedures without prior notice such as immediate suspension of use, deletion of registration information, and posted information.
(1) Any action listed in each item of 10.2.
(2) Any action infringing intellectual property rights of CRT Japan or a third party.
(3) Any action intending to libel or defame credibility of CRT Japan or a third party.
(4) Any action that violates or may violate properties of CRT Japan or a third party.
(5) Any action causing an economic loss for CRT Japan or a third party.
(6) Any action threatening CRT Japan or a third party.
(7) Posting the following information:
  1. Any information containing the risks to infringe rights and properties of a third party.
  2. Harmful information as well as any information hurting physically and psychologically others.
  3. Any information violating laws and regulations or containing expression instigating violation of laws and regulations and dangerous actions.
  4. Any information with the purpose of violating laws and regulations, assault, abuse, racial discrimination, defamation, insult, harassment, instigating and with an intention to give others a feeling of discomfort or any information which may lead to such results.
  5. Any information contrary to facts or false.
  6. Information for which the user does not have controllable rights
  7. Any information infringing intellectual property rights including copyrights, other property rights of third parties and violating public interests as well as individual rights.
  8. Images or documents considered as immoral, containing child pornography and abusing children.
  9. Information which violates law and regulations.
  10. Any information which CRT Japan considers inappropriate.
(8) Any action to use or provoke the use of computer virus and harmful programs.
(9) Any action causing excessive load against the infrastructure of the Services.
(10) Any server, system, and security attacks on the App.
(11) Access to the Service by using any methods other than that provided by CRT Japan.
(12) Any action of a User to obtain multiple user IDs.
(13) Any other actions CRT Japan considers inappropriate.

Article 13 (Exclusion of Anti-social Force)
13.1 The User represents, warrants and covenants to ensure that the User is not a person who has fallen into an organized crime group, a member of an organized crime group, a member of an organized crime group or for whom 5 years have not yet passed since leaving an organized crime group, a quasi-member of an organized crime group, a related company or association of an organized crime group, a corporate racketeer, or other equivalent people of any category above (“Anti-social forces”). The User shall not fall under any of the following categories.
(1) A person having such relationship with anti-social forces that shows anti-social forces’ control over the person’s management.
(2) A person having such relationship with anti-social forces that shows anti-social forces’ substantial involvement in the person’s management.
(3) A person having such relationship with anti-social forces that shows reliance on the anti-social forces for the purpose of unfairly benefiting itself or third parties, or of damaging third parties.
(4) A person having such relationship with anti-social forces that shows provision of funds, benefits or services from the person to anti-social forces.
(5) A person where any of the board members or other personnel substantially involved in its management is engaged in a socially condemnable relationship with anti-social forces.
13.2 The User represents, warrants and covenants to ensure that they themselves or through the use of third parties has never conducted or will not conduct any of the following action.
(1) A demand with violence.
(2) An unreasonable demand beyond its legal entitlement.
(3) Use of intimidating words or actions in relation to transactions.
(4) An action to defame the reputation or interfere with a third party by spreading rumor, using fraudulent means, or resorting to force.
(5) Other equivalent actions of above.
13.3 Upon breach of this Article, CRT Japan may immediately suspend access to the Services without notice or other procedures they deem suitable.
13.4 CRT Japan shall not be responsible for any damages caused to the User due to the suspension of the Services in accordance with this article. In addition, it shall be possible to claim damages against the User for damages caused to themselves as a result of the suspension.

Article 14 (Handling of Contents)
14.1 CRT Japan reserves the right to all content provided by the Services, and grants non-exclusive use of the Services that cannot be transferred or sublicensed.
14.2 The Users are prohibited from using any content (including duplication, transmission, assignment, lending, translation, adaptation, a reprint without permission, secondary use, use for commercial purpose, modification, disassembly, decompilation, and reverse engineering beyond the scope specified by CRT Japan) that: (i) is unfair or deceptive (ii) is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights unless the User is the owner of such rights; (iii) creates a risk to a person’s safety or health, creates a risk to public safety or health, compromises national security , or interferes with an investigation by law enforcement; (iv) impersonates another person; (v) is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, violates any law or is otherwise dishonest, inaccurate, inappropriate, malicious or fraudulent; (vii) involves theft or terrorism; (viii) constitutes an unauthorized commercial communication; (ix) contains the contact information or any personally identifiable information of any third party; and/or (x) breaches this Terms of Use.
14.3 Registered users must post so as not to infringe on the copyright of a third party. Unauthorized reproduction of texts from information media such as the Internet, TV, magazines, and books is strictly prohibited. However, this shall not apply to the case that permission from the right holders is obtained in advance.
14.4 The copyrights (rights stipulated in Articles 21 to 28 of the Copyright Act) regarding content (images, videos, text, and all other information) posted on the Services or transmitted by registered users by other means belong to the User All copyrights including) belong to the user. However, when sending the content, the User permits CRT Japan to use the content free of charge and non-exclusively both within and outside Japan.
14.5 The User shall not exercise the moral rights of the author within the Services.

Article 15 (Disclaimer)
15.1 We shall not be responsible for the content information (working hours, vacation requests, messages, etc.) sent and received through Hello Ninja, its legality, safety, usefulness. CRT Japan shall not be liable for any discussions, disputes, or other troubles caused by the content of communication or communication itself. If a problem arises between the User and its working company, recruitment agencies and third-party support organisations, it is the responsibility of both parties to resolve it, and we will not make any claims.
15.2 CRT shall not be liable for any damages caused by changes, interruptions, or terminations of the Services unless damages relate to or arise from gross negligence or willful misconduct.
15.3 We shall not be involved in the User’s operating environment for the Services and shall not take any responsibility.
15.4 CRT Japan does not warrant, directly or indirectly, with respect to the Service or any information provided through the Services, fitness to a specific purpose, expected function, expected level of function, product value, accuracy, or usability, compliance with regulations or internal rules of industry groups applicable to the user when using this Services.
15.5 CRT Japan does not guarantee that the Services is compatible with all devices and the User shall acknowledge in advance that problems may occur in the operation of the Services along with OS upgrade of devices. CRT Japan does not guarantee that the occurred problem will be resolved by modifications of the program.
15.6 The User acknowledges in advance that the use of part or all of the Services may be restricted due to changes in the terms and operation policies of a digital distribution platform such as App Store and Google Play.
15.7 CRT Japan shall not be liable for any damages directly or indirectly caused to the User in connection with any use.
15.8 CRT Japan shall not be liable for damages (including indirect damages and lost profits) such as lost opportunities and business interruptions that occur to users and third parties despite prior notice of the possibility of such damages.
15.9 Deletion request of the post from other Users or third parties is, at the discretion of CRT Japan, processed and we shall not be liable for any responsibility arising from our discretion.
15.10 The User shall compensate for any damage or resolve disputes at his own expense and responsibility and shall not cause any inconvenience or damage to CRT Japan.
15.11 Upon any claim filed to CRT Japan by a third party, the User shall be responsible to resolve it at their expense (attorney's fee) and responsibility. In any event if CRT Japan pays damages to the third party, the User shall pay all costs (including attorney's fees and lost profits) including the damages to us.
15.12 The User shall compensate (including legal fees and attorney's fees) at the user's expense and responsibility for damages caused to CRT Japan in connection with the use of the Services.
15.13 CRT Japan does not guarantee the accuracy of information posted by the other Users on the Services. We shall not be responsible for any disputes or troubles with regard to the information posted on the Services.

Article 16 (Advertising)
CRT Japan does not place any advertisements on the Services.

Article 17 (Monitoring)
CRT Japan shall, at the discretion of CRT Japan, monitor whether the User is using the Services properly, and the User shall agree to it.

Article 18 (Prohibition of Assignment of Rights)
The user shall not assign all or part of the status under the Terms and the rights or obligations based on the Terms to a third party.

Article 19 (Severability)
In case any one or more of the provisions contained in the Terms shall for any reason be held to be invalid or unenforceable in any respect by laws and regulations, the remainder of the Terms shall remain in full force and effect.

Article 21 (Governing Law, Jurisdiction)
21.1 The validity, interpretation, and performance of the Terms shall be governed by and construed in accordance with the laws of Japan.
21.2 With regard to discussions, litigation, and any other disputes between CRT Japan and users, the Tokyo Summary Court or the Tokyo District Court shall be the exclusive jurisdiction court according to the complaint.

This Privacy Policy (the “Policy”) informs you of our policies regarding the collection of personal information we receive from you through the App. Please read and understand this Policy to learn more about our Privacy Policy and your rights before using the App.

Article 1 (Definition)
Terms used in this Policy shall be defined in the "Terms of Use”.

Article 2 (Features of the App)
The App provides the following features.

Profile You register personal information and obtain Bluenumber, a global digital ID. You can also register entities concerning you such as your working company, recruitment agencies (e.g., supervising company and sending company for Technical Intern Trainees).
Third-party support organisations You can select and register up to three third-party support organisations.
Privacy setting You may decide who to share your profile with from the registered working company, recruitment agencies and third-party support organisations. You can change the privacy settings at any time.
Work
You record working hours on the App and register vacation dates. If your working company uses Ninja-Biz AND if your registered residence card number on Hello Ninja and Ninja-Biz matches, Hello Ninja can be linked up with the Ninja-Biz of your working company, and you can submit your working hours and vacation requests to be approved.
For that, you need to allow profile sharing with your working company.
Event Once your Hello Ninja is linked up with Ninja-Biz of your working company, you may also receive company event information (e.g. meeting schedule) on the App. If you allow profile sharing with event organizers such as community support groups or external organisations, you will receive event information on the App and may sign up for an event that you wish to attend.
Message You may exchange messages with your registered working company, recruitment agencies, and community support organisations via Ninja-Biz, if you allow to share your profile with them.  You may also exchange messages with CRT Japan, without registering/allowing to share your profile with any entities.
Survey You will be invited to conduct surveys and have the option to choose to answer them if you allow us to share your profile with survey organizers. For paid surveys, you will receive payment through LINE Pay by registering your LINE Pay number, subject to both last 4 digits of your phone number registered on LINE Pay and on Hello Ninja are the same. When registering a LINE Pay number, you must agree that (1) you are to register only your own personal phone number and (2) registering another person's number is considered "impersonation" and is an act that falls under a crime.
Emergency Alert You will receive an emergency alert in the event of a disaster within a radius of 50 km and will be asked to confirm your safety, based on the registered work and home addresses (and its location information if the GPS function is turned on). The safety confirmation will be shared with the registered entities which you have given access to amongst your working company, recruitment agencies, and third-party support organisations.
Useful information You obtain information about support groups and support desks from the "Useful Information" features.

Article 3 (Bluenumber Registration and Login)
To use the App, you will need to obtain a Bluenumber, which is a global digital ID. You get the Bluenumber and start using our services by registering yourself on the App. In addition, in order to register, it is necessary to agree to the "Terms of Use” posted in the App or our website (URL:  https://ninja-biz.group-bluenumber.org/ninja_app/public/en/term/ ). You only obtain one Bluenumber with an email address.

Article 4 (Personal Information We Collect)
Hello Ninja receives or collects your personal information when we operate and provide our services. If you enter incorrect personal information, you may not be able to complete your registration or receive some or all of our services.

Article 5 (Personal Information Sent to the External)
All personal information collected on the App by CRT Japan is sent from TraceBlue Japan, which is our contractor, to the cloud server (this does not handle any personal information, and we perform appropriate access control) to be stored. We do not transfer the data itself to the externals.

Article 6 (Provision of Personal Information to Third Parties)
Hello Ninja shares all or part of your personal information data collected on the App only with entities you agree to share your personal data with (Slide a bar to the right to indicate "Agree" on the App) such as your working company, recruitment agencies, third-party support organisations, event organisers, and survey organisers (you allow them access to your personal information). You will be paid a reward through LINE Pay for answering the paid surveys. In this case, we will share the last 4 digits of your registered LINE Pay number with LINE Pay Corporation. We ask all entity who use Ninja-Biz to manage and handle personal information of Hello Ninja users’ available on Ninja-Biz appropriately.
Third-party money transfer company: LINE Pay Corporation
Third-party safety alert provider: RC Solution Corporation
*"Safety tips" notifies a user with Earthquake Early Warnings, Tsunami Warnings, Volcanic Warnings, Weather Warnings, Heat illness Warnings and Civil Protection Information issued in Japan. It is a free application developed under the supervision of Japan Tourism Agency. Hello Ninja use the information through API.
Except for the above cases, the personal information we collect on the App will not be provided to third parties without your consent.

Article 7 (Information Gathering Module)
The App does not have a built-in information collection module.

Article 8 (Subcontract regarding Handling Business of Personal Information)
We may share information with subcontractors who assist operations and user support within the scope of the purpose of use. We will conclude a contract with the contractor regarding the handling of personal information and thoroughly manage the personal information of users.

Article 9 (Lawful Disclosure)
We also may disclose your personal information: 
  • As required by law, such as to comply with a subpoena, court order, or similar legal process.
  • When we believe in good faith that disclosure is necessary to establish, protect, or exercise our rights; protect your safety or the safety of others; investigate fraud or other illegal activities; or respond to a government request.
  • If CRT is involved in a merger, acquisition, or sale of its assets. In that event, you will be notified via notification on Hello Ninja about the options you have with regard to your data.

Article 10 (Your Rights)
If you wish to confirm, correct or delete the information registered to Bluenumber, you can do so on the App. If you wish to delete all information registered to Bluenumber, please contact us at hello-ninja@crt-japan.jp. Third-party consent can be withdrawn at any time on the app. However, please note that if you do not agree to the provision to a third party, the available features may be limited (for more details, please refer to item 2. Features of the App).
If your data was collected or processed, you have the following rights, subject to exceptions or requirements under current laws:
  • To request information about the purpose of the processing, the categories of personal data concerned, who else outside Bluenumber might have received the data from us, where the personal data is stored and how long it will be stored.
  • To correct (rectify) the record of your personal data maintained by CRT if it is inaccurate.
  • To erase that data or cease processing it. (However, please note that the information collected while using this application will also be deleted from the server at the same time, and you will not be able to use the App. Therefore, you will need to register again to use our services.)
  • To withdraw your consent for the processing of personal data or the further processing of personal data by CRT at any time.

Article 11 (Complaints and Consultations Regarding the Handling of Personal Information)
For inquiries regarding complaints, consultations of personal information, please contact CRT Japan as described in item 11.

Article 12 (How to Contact Us)
If you have any questions or suggestions regarding this Policy, please contact CRT Japan as follows. Please be notified that we may not be able to meet your request if any of the following applies: it will significantly hinder our business performance; there is a risk of harming the life, body, property or other interests of an individual and disclosure violates the provisions of laws and regulations.

Article 14 (Updates to Our Policy)
When we make any changes to our Privacy Policy, we will notify you on the above link and through the App. In addition, if we make any material changes regarding personal information such as a change in the purpose of use or provision to a third party, we will obtain user consent again.
